Terms of Service
These terms govern your use of Cadence (the "Service"). By creating an account, uploading content, or rendering a video, you agree to these terms. If you do not agree, do not use the Service.
1. Accounts
You must provide accurate information when creating an account and keep your credentials secure. You are responsible for activity that happens under your account. We may suspend or terminate accounts that violate these terms or that we reasonably believe pose a risk to the Service or other users.
2. Your content
You retain all rights to the audio, lyrics, artwork, and rendered videos you create with Cadence. You grant Cadence a limited, worldwide, royalty-free license to host, process, transcode, and display that content solely so we can operate the Service for you, including running alignment, analysis, theme rendering, and export.
You represent and warrant that you own or have the necessary rights to upload every piece of content you submit, including any sound recordings, compositions, lyrics, and artwork. Cadence does not clear publishing or master-recording rights for you.
3. Acceptable use
You may not use Cadence to upload or render content that infringes another party's intellectual property; that is unlawful, harassing, or threatening; that contains malware; or that attempts to disrupt or reverse engineer the Service. We may remove content or terminate accounts that violate this section.
4. Billing and refunds
Paid features (including 1080p and 4K render packs) are billed through our payment processor. Prices are listed at point of purchase. Unless required by law, render-pack purchases are non-refundable once a render has started. If a render fails for reasons attributable to Cadence, contact us and we will reissue credits or a refund at our discretion.
5. Service availability
Cadence is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted operation, and we may add, change, or remove features over time. Beta features may behave differently from documented behavior.
6. Termination
You may stop using Cadence and delete your account at any time. We may suspend or terminate access if you violate these terms, if required by law, or if continued operation would expose Cadence or other users to material risk. On termination, we will delete or anonymize your account data on the schedule described in our privacy policy.
7. Disclaimers and liability
To the maximum extent permitted by law, Cadence is provided without warranties of any kind, and Cadence's total liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
8. Changes to these terms
We may update these terms from time to time. If a change is material, we will notify you in-app or by email before it takes effect. Continued use of the Service after the effective date means you accept the updated terms.
9. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts of Ontario have exclusive jurisdiction over any dispute arising out of or relating to these terms or your use of the Service, and you consent to the personal jurisdiction of those courts.
